1. Agreement to Terms
By accessing nekter.ai or using our services, you agree to these Terms of Service.
2. Services Description
Nekter AI provides:
- AI Operating System installation and configuration
- Multi-agent orchestration systems
- Infrastructure consulting and audits
- Ongoing management and support
3. Service Agreements
Detailed scope, pricing, and deliverables provided in individual Statements of Work (SOW).
4. Payment Terms
- Deposits: 50% upfront for new installations
- Monthly Fees: Billed in advance on the 1st of each month
- Payment Methods: Bank transfer, credit card, invoice (approved clients)
- Late Payments: 1.5% monthly interest on overdue balances
- Refunds: Non-refundable deposits. Service refunds per SOW terms.
5. Client Responsibilities
- Provide accurate information and access
- Respond to requests in a timely manner
- Comply with our Acceptable Use Policy
- Maintain security of provided credentials
6. Intellectual Property
- Our Methods: Nekter AI retains ownership of proprietary methods, frameworks, and tools
- Client Deliverables: Clients own configured agent systems and custom code developed specifically for them
- Third-Party: NemoClaw, OpenClaw, and other open-source tools subject to their respective licenses
7. Confidentiality
Both parties agree to protect confidential information shared during service delivery.
8. Limitation of Liability
Nekter AI is not liable for:
- Client misuse of agent systems
- Third-party service outages (AWS, Vercel, etc.)
- Indirect, incidental, or consequential damages
Maximum liability: Total fees paid in the 12 months prior to the claim.
9. Warranties
- Services provided with reasonable skill and care
- No guarantee of specific business outcomes
- Third-party tools provided “as is” (subject to their warranties)
10. Termination
- By Client: 30 days written notice. Fees owed for services rendered.
- By Nekter AI: Immediate termination for non-payment or breach of terms.
11. Dispute Resolution
- Governing Law: State of Nevada, United States
- Arbitration: Disputes resolved via binding arbitration (JAMS)
- Jurisdiction: Clark County, Nevada
12. Changes to Terms
We may update these terms. Clients notified via email. Continued use = acceptance.
